FINANCIAL ANALYSIS MACHINE – TERMS OF USE

Effective Date: December 10, 2025

Provider: Hero Group LLC (“Hero Group,” “we,” “us”)

These Terms of Use (“Terms”) apply to all access to and use of the Financial Analysis Machine (“Service,” “FAM”). By accessing, connecting to, submitting data into, or generating a Report with the Service, you agree to these Terms.

If you do not agree, you must immediately discontinue all use and must not enter or connect any data.

  1. Description of the Service

1.1 Purpose
The Financial Analysis Machine is a free, AI-powered modeling and analytics tool for collision repair shops. It generates written reports (“Reports”) based on:

  • user-entered operational and financial data,
  • auto-filled values based on industry benchmarks,
  • assumptions and estimations generated by AI.

You acknowledge that the Service does not verify or audit any information you provide.

1.2 Inputs
You may enter:

  • real operational data,
  • estimates or approximations,
  • hypothetical data,
  • demo or sample data.

When data you provide is missing, incomplete, ambiguous, or appears inconsistent, the Service may:

  • create AI-generated values,
  • apply default industry benchmarks,
  • apply modeled assumptions.

You must not enter data that you do not have the legal right to disclose.

1.3 Outputs
 The Service may automatically generate:

  • operational summaries and throughput analysis
  • financial performance breakdowns
  • staffing commentary and estimated capacity
  • profit leakage identification
  • benchmark comparisons
  • break-even and scenario modeling
  • cycle-time insights
  • 12-month revenue and profit projections
  • SMART goals, recommendations, and 90-day plans

All outputs are automatically generated without human review.

1.4 Informational Only
Reports and outputs are informational, unaudited, and non-authoritative.  They are not:

  • accounting advice
  • tax advice
  • legal, insurance, valuation, or investment advice
  • professional recommendations
  • regulatory guidance
  • a substitute for qualified advisors

You must not rely solely on the Report to make business or financial decisions.

  1. Eligibility and User Obligations

2.1 By using the Service, you represent and warrant that you:

  • are at least 18 years old;
  • are using the Service on behalf of a collision repair business;
  • have full legal authority to provide any data you submit;
  • understand and accept that AI outputs may be inaccurate or incomplete;
  • will comply with all applicable laws and data privacy obligations.

2.2 No account is required unless optional features specify otherwise.

2.3 You must not upload personal information unless absolutely necessary to operate the Service, including:

  • customer names
  • VINs
  • addresses
  • employee identifiers

If you choose to upload personal information:

  • you accept full responsibility,
  • you confirm you have lawful authority to provide it,
  • and you acknowledge Hero Group is not liable for your decision to do so.

2.4 QuickBooks and Third-Party Integrations

If you choose to connect the Service to QuickBooks Online (“QuickBooks”) or any other third-party system:

(a) You Must Have Proper Authority

You represent and warrant that you:

  • are the account owner or an authorized user of the QuickBooks account;
  • have full legal authority to grant Hero Group access rights;
  • have obtained all internal, corporate, or managerial approvals necessary to enable the integration.

(b) Scope of Access You Authorize

By enabling the integration, you expressly authorize Hero Group to:

  • retrieve financial data, transaction data, chart-of-accounts information, vendor and expense classifications, revenue data, and other accounting-related records necessary for modeling;
  • process, categorize, transform, analyze, and use such data to generate Reports or Derived Data;
  • store synced data as part of User Data;
  • re-request or re-sync data periodically as needed for the operation of the Service.

Hero Group does not modify, delete, or post transactions into your QuickBooks account.

(c) Third-Party Terms Apply

QuickBooks is operated by Intuit Inc.
By using the integration, you acknowledge and agree that:

  • Intuit’s own terms, privacy practices, and data handling policies apply to your QuickBooks account;
  • Hero Group is not responsible for the performance, availability, accuracy, or security of QuickBooks;
  • any issues between you and Intuit do not involve Hero Group.

(d) No Verification of Accounting Data

You understand and agree that:

  • Hero Group does not audit, validate, reconcile, or verify the accuracy of any financial data imported from QuickBooks;
  • any mislabeling, misclassification, outdated entries, or incorrect accounting records you maintain in QuickBooks will flow directly into the Service and may materially affect outputs;
  • you are solely responsible for ensuring the accuracy of your QuickBooks data.

(e) Disconnection

You may disconnect QuickBooks at any time.
However:

  • previously synced data remains part of your User Data;
  • disconnection does not delete User Data or Derived Data;
  • Hero Group retains the rights described in Section 4.

(f) No Liability for QuickBooks Integration

To the maximum extent permitted by law, all Protected Parties have zero liability arising out of or relating to:

  • QuickBooks connectivity issues;
  • inaccurate, incomplete, outdated, or corrupted QuickBooks data;
  • integration failures or syncing problems;
  • any financial losses resulting from your QuickBooks settings, entries, or data quality;
  • decisions based on Reports derived from QuickBooks data.

Your sole remedy for integration issues is to stop using the integration.

  1. AI Processing, Transparency, and Limitations

3.1 AI-Generated Content
All outputs, including calculations, financial projections, staffing recommendations, summaries, and narratives, are generated by AI and may:

  • contain errors,
  • use incorrect assumptions,
  • misinterpret your inputs,
  • be incomplete, outdated, or inconsistent.

3.2 No Automated Decision-Making Affecting Rights
AI outputs do not create or modify:

  • financial obligations,
  • legal rights,
  • contractual status,
  • guarantees or commitments.

3.3 Model Limitations
AI outputs may change over time due to system updates, model variations, or benchmark changes.

No Protected Party guarantees accuracy, completeness, suitability, or expected results.

  1. User Data, Ownership, and Derived Data

 

4.1 User Data

You retain ownership of the original, unmodified form of all information you submit (User Data).
By submitting User Data, you represent and warrant that:

  • you have full legal authority to provide it
  • you have obtained all necessary rights, consents, and permissions, including from employees, vendors, customers, and third parties
  • your submission does not violate confidentiality obligations, privacy laws, employment restrictions, contractual duties, or any applicable regulation
  • your submission does not contain regulated data unless you have lawful authority to provide it

Hero Group does not verify the accuracy or authorization of User Data and assumes no responsibility for unlawful or unauthorized submissions.

4.2 License to Hero Group

You grant Hero Group a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to:

  • collect, store, host, process, transmit, reproduce, display, modify, adapt, and analyze User Data
  • use User Data to operate, support, maintain, secure, and troubleshoot the Service
  • generate Reports, outputs, financial projections, analyses, narratives, or recommendations
  • develop, train, validate, improve, and refine AI models, algorithms, datasets, and predictive systems
  • create anonymized, aggregated, de-identified, statistical, synthetic, or transformed datasets (Derived Data)
  • combine User Data with other datasets for any lawful purpose
  • use User Data in any present or future Hero Group product, service, research project, internal tool, or commercial initiative

This license expressly includes the right to:

  • create derivative works of User Data
  • generate synthetic data based on patterns found within User Data
  • use User Data to improve, train, or develop commercial AI or analytics products

YOU MUST NOT SUBMIT DATA IF YOU DO NOT WANT IT PROCESSED OR USED IN THIS MANNER.

This license survives termination indefinitely to the extent necessary to operate the Service, maintain system integrity, comply with legal requirements, or preserve or continue using Derived Data.

You waive any claims or allegations regarding infringement, misappropriation, improper use, or unauthorized commercial use of User Data as permitted under these Terms.

4.3 Derived Data

Hero Group may transform, aggregate, anonymize, de-identify, statistically analyze, synthesize, or otherwise modify User Data to create Derived Data.

Derived Data may include:

  • statistical insights, benchmarks, financial models, or operational patterns
  • aggregated industry metrics
  • synthetic datasets or machine learning outputs derived from User Data
  • anonymized or transformed datasets used for analytics, research, or product development
  • any derivative or successor dataset created using User Data as an input

Hero Group may use, disclose, license, commercialize, publish, sell, or otherwise exploit Derived Data for any lawful purpose, including:

  • analytics and benchmarking
  • internal or external research
  • AI model improvement
  • development of new or existing Hero Group products
  • co-branded initiatives and partnerships
  • marketing, presentations, or educational materials

You acknowledge and agree that:

  • Derived Data is the exclusive property of Hero Group
  • You have no ownership, intellectual property rights, control rights, or economic rights in Derived Data
  • You have no right to request deletion, modification, restriction, access, or accounting of Derived Data
  • Deletion of User Data does not require deletion of Derived Data
  • Hero Group’s rights to Derived Data are perpetual, irrevocable, and not subject to challenge

You expressly waive:

  • any claims alleging misuse, misappropriation, infringement, reverse engineering, or improper commercial exploitation of Derived Data
  • any claims asserting ownership, joint authorship, co-authorship, or moral rights in any Derived Data
  • any right to compensation or participation in revenue derived from Derived Data
  • any right to block or restrict Hero Group’s use of Derived Data

Any attempt to impose limitations on Hero Group’s rights to Derived Data is void and unenforceable.

4.4 QuickBooks Data as User Data

All data retrieved from QuickBooks Online or any other third-party integration (Accounting Data) is treated as User Data and is:

  • subject to the license granted in Section 4.2
  • eligible for transformation into Derived Data as described in Section 4.3
  • subject to the retention rules in Section 6
  • available for analysis, modeling, benchmarking, and AI training

Disconnecting QuickBooks does not delete previously synchronized Accounting Data.

You acknowledge and agree that:

  • Hero Group does not audit, validate, reconcile, or verify Accounting Data
  • You are solely responsible for the accuracy, authority, and legality of any Accounting Data imported into the Service
  • Derived Data created from Accounting Data will not be deleted, modified, or restricted upon request

You must not enable the integration if you do not want your QuickBooks data processed under these Terms.

  1. Acceptable Use

You agree NOT to:

  • reverse engineer, scrape, or extract source code or model logic;
  • use the Service to train competing AI tools;
  • misrepresent AI outputs as audited or certified findings;
  • upload data you lack authority to disclose;
  • attempt to bypass security measures;
  • interfere with system performance or infrastructure;
  • present Reports to third parties as validated financial statements.

Hero Group may suspend or terminate access for any violation.

  1. Security, Cookies, and Retention

6.1 Security Measures
The Service uses commercially reasonable safeguards, including encryption, access controls, and system monitoring. No system is perfectly secure.

6.2 User Responsibilities
You must protect your own systems and ensure unauthorized individuals cannot upload data on your behalf.

  • If you connect QuickBooks, you are solely responsible for maintaining accurate accounting records, user permissions, and internal controls within your QuickBooks account.

6.3 Cookies & Tracking
The Service may use cookies and analytics tools for:

  • functionality;
  • security;
  • performance measurement;
  • usage insights.

You may adjust your browser settings, though some features may not function.

6.4 Data Retention

Hero Group retains information as follows:

(a) User Data

Hero Group may retain User Data for as long as necessary to:

  • operate, maintain, and provide the Service;
  • generate Reports;
  • troubleshoot or diagnose issues;
  • maintain security, audit logs, and system integrity;
  • comply with legal, regulatory, or operational obligations;
  • create, preserve, validate, or maintain Derived Data.

Upon request, Hero Group may delete or anonymize User Data where legally permissible; however:

  • Derived Data already created will not be deleted, and deletion of User Data will not affect Hero Group’s rights to retain and use Derived Data.
  • Deleting User Data does NOT delete Derived Data.

(b) Derived Data

“Derived Data” includes anonymized, aggregated, de-identified, transformed, or statistical data generated from User Data.

Hero Group may:

  • retain Derived Data indefinitely;
  • use, disclose, commercialize, license, sell, publish, or otherwise exploit Derived Data for any lawful purpose;
  • retain Derived Data even after you stop using the Service or request deletion of User Data.

You acknowledge and agree that:

  • Derived Data is fully owned by Hero Group;
  • you have no right to request deletion, restriction, or modification of Derived Data;
  • deletion of User Data does not require deletion of Derived Data;
  • Hero Group’s rights to Derived Data are perpetual, irrevocable, transferable, and survive termination.
  1. Co-Branded Experience and Partner Immunity

7.1 The Service may appear with the branding of a partner. These partners are distribution or promotional partners only.

7.2 Co-Brand Partner Immunity
Any co-branded partner, promotional partner, integration partner, affiliate, or distributor (each a “Co-Brand Partner”) is a Protected Party under these Terms.

7.3 No Partner Liability
Co-Brand Partners:

  • do not provide professional advice;
  • do not validate outputs;
  • are not responsible for the accuracy of AI content;
  • are not liable for your use of the Report or Service.

All protections afforded to Hero Group apply equally to every Co-Brand Partner.

  1. User Responsibility and Assumption of Risk

You agree and acknowledge:

  • You must independently verify all outputs.
  • You assume all risks associated with using any AI-generated content.
  • You assume all risks arising from reliance on the Service or Report.
  • The Service is not a substitute for professional advisors.
  • All business, operational, staffing, financial, insurance, investment, or strategic decisions are entirely your responsibility.
  • No Protected Party controls your business outcomes or operational decisions.

Your use of the Service constitutes complete and unconditional assumption of all risk.

  1. ZERO LIABILITY OF HERO GROUP AND PARTNERS

Protected Parties

“Protected Parties” means Hero Group LLC, its affiliates, owners, directors, officers, employees, contractors, agents, licensors, vendors, service providers, and all Co-Brand Partners.

ZERO LIABILITY CLAUSE

To the maximum extent permitted by law, ALL PROTECTED PARTIES SHALL HAVE NO LIABILITY WHATSOEVER arising out of or relating to:

  • the Service;
  • the Report;
  • your data;
  • AI-generated content;
  • assumptions, benchmarks, projections, or recommendations;
  • errors, inaccuracies, omissions, or incomplete data;
  • loss of business, revenue, or profits;
  • decisions or actions you take based on the Service;
  • disputes with insurers, lenders, investors, auditors, regulators, staff, or customers;
  • system failures, outages, downtime, interruptions, or delays.
  • QuickBooks synchronization, third-party integration behavior, and any outputs derived from such integrations.

ZERO DAMAGES

In no event shall any Protected Party be liable for any:

  • direct damages;
  • indirect damages;
  • incidental damages;
  • consequential damages;
  • special or punitive damages;
  • exemplary or statutory damages;
  • lost profits, lost opportunities, or reputational harm.

ZERO TOTAL AGGREGATE LIABILITY

The total aggregate liability of all Protected Parties shall be: USD $0.00 (zero dollars).

If any jurisdiction prohibits a zero-liability clause, liability shall be limited to the minimum amount permitted by law.

  1. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless all Protected Parties from and against any and all claims, demands, lawsuits, actions, losses, damages, liabilities, fines, penalties, costs, and expenses (including attorneys’ fees and expert fees), arising out of or relating to:

  1. your use or misuse of the Service or Report;
  2. your reliance on any output;
  3. your data, including inaccurate or unauthorized submissions;
  4. any business, operational, or financial decisions you make;
  5. your violation of law, regulation, or third-party rights;
  6. disputes with insurers, lenders, investors, auditors, regulators, customers, employees, or third parties;
  7. breach of these Terms.

This obligation survives any discontinuation of the Service.

  1. Modifications, Availability, and Termination

Hero Group may modify, suspend, or discontinue the Service at any time without notice or liability. Updated Terms become effective upon posting.

You may stop using the Service at any time.

  1. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to the Service, the Report, these Terms, or any interaction with Hero Group (collectively, a “Dispute”) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) or another mutually agreed arbitration provider.

Arbitration Venue and Rules

  • Location: Austin, Texas
  • Language: English
  • Form: Single arbitrator
  • Procedure: Simplified, document-driven arbitration whenever permitted

The arbitrator’s decision is final and binding.

Class Action Waiver

You and Hero Group agree that all Disputes must be brought solely in your individual capacity and not as part of a class, consolidated, collective, or representative action.  No class arbitration is permitted.

Injunctive Relief

Either party may seek temporary or permanent injunctive relief in state or federal courts located in Austin, Texas, exclusively for:

  • protecting intellectual property rights,
  • enforcing confidentiality, or
  • enforcing arbitration awards.

You consent to the personal jurisdiction and venue of courts located in Austin, Texas.

  1. Miscellaneous
  • Entire Agreement: These Terms and the Privacy Policy constitute the full agreement.
  • Severability: If any provision is invalid, the rest remains in effect.
  • No Waiver: Failure to enforce rights does not waive them.
  • Assignment: You may not transfer your rights; Hero Group may assign these Terms.
